1. Parties and Scope

These Terms and Conditions (“Terms”) govern all quotations, purchase orders, sales contracts and correspondence between VS Horizon LLC (Trade Licence No. 25-041558-001, registered in the Ras Al Khaimah Economic Zone, United Arab Emirates) (“VS Horizon”, “we”, “us”) and any buyer, importer or counterparty (“Buyer”).

By accepting a quotation, issuing a purchase order or entering into a contract with VS Horizon, the Buyer agrees to be bound by these Terms. Any conflicting or additional terms in a Buyer's purchase order are expressly rejected unless accepted in writing by VS Horizon.

2. Quotations and Offers

All quotations issued by VS Horizon are non-binding unless confirmed by a signed contract or a written order confirmation. Prices stated in quotations are valid for the period specified therein. If no validity period is stated, the quotation expires after fourteen (14) calendar days from the date of issue.

Commodity prices are subject to market fluctuation. VS Horizon reserves the right to revise pricing prior to written order confirmation if underlying market prices change materially.

3. Orders and Contracts

A binding contract is formed only upon VS Horizon's written order confirmation countersigned by an authorised representative. Electronic mail and digital signatures are considered valid for the purposes of forming a binding agreement.

Minimum order quantities (MOQ) apply per commodity and are stated in the relevant product specification or quotation. VS Horizon reserves the right to decline orders below the stated MOQ.

4. Prices and Payment

Unless otherwise stated in writing, all prices are in United States Dollars (USD). The following payment terms apply unless varied by written agreement:

• Letter of Credit (L/C): Irrevocable, at sight or as agreed, issued by a first-class international bank acceptable to VS Horizon.
• Telegraphic Transfer (T/T): 30–50% advance deposit upon order confirmation; balance prior to or against presentation of shipping documents, as agreed.
• Documents Against Payment (D/P): Available for established buyers subject to prior credit approval by VS Horizon.

Any charges, duties, taxes or levies arising in the Buyer's country are the Buyer's sole responsibility. Bank charges outside the UAE are borne by the Buyer.

5. Delivery and Incoterms

Delivery terms (Incoterms® 2020) are stated in the sales contract. Standard terms offered include FOB (port of origin), CFR and CIF (port of destination). The applicable Incoterm governs risk transfer, insurance obligations and freight responsibilities.

Shipping schedules are estimates only. VS Horizon shall not be liable for delays caused by vessel availability, port congestion, force majeure events or circumstances beyond its reasonable control. VS Horizon will notify the Buyer promptly of any significant delay.

6. Quality, Inspection and Claims

VS Horizon supplies commodities in accordance with the grade, specification and origin stated in the sales contract. Unless otherwise agreed, quality is certified at the port of origin by an independent, internationally recognised inspection agency (SGS, Bureau Veritas or equivalent). The certificate of analysis issued at origin is final and binding on both parties as to quality at point of shipment.

The Buyer must inspect goods upon arrival. Any quality claim must be submitted in writing within seven (7) calendar days of arrival of the vessel at the port of discharge, supported by an independent inspection report from a mutually acceptable agency. Claims submitted outside this window will not be entertained.

VS Horizon's liability for quality claims is limited to the invoice value of the defective quantity. VS Horizon is not liable for consequential or indirect losses, loss of profit, or market losses.

7. Documentation

VS Horizon provides standard export documentation including: commercial invoice, packing list, certificate of origin, bill of lading, phytosanitary certificate (where applicable), and fumigation certificate (where applicable). Additional documentation required by the Buyer's country of import is the Buyer's responsibility to specify at the time of order.

8. Force Majeure

Neither party shall be liable for failure or delay in performance caused by events beyond reasonable control, including but not limited to: acts of God, natural disasters, war, embargo, government action, labour disputes, pandemic, or supply disruptions at origin. The affected party must notify the other in writing within seven (7) days of the force majeure event arising.

9. Intellectual Property

All content on this website — including text, graphics, logos and product descriptions — is the property of VS Horizon LLC or its licensors and is protected under applicable intellectual property laws. Reproduction or commercial use without prior written consent is prohibited.

10. Limitation of Liability

To the maximum extent permitted by applicable law, VS Horizon's total aggregate liability for any claim arising under or in connection with a sales contract shall not exceed the invoice value of the goods to which the claim relates. VS Horizon is not liable for any indirect, incidental, consequential or punitive damages.

11. Governing Law and Dispute Resolution

These Terms and all contracts governed by them are subject to the laws of the United Arab Emirates, specifically the laws applicable in the Emirate of Ras Al Khaimah. Any dispute that cannot be resolved amicably within thirty (30) days of written notice shall be referred to binding arbitration under the rules of the Dubai International Arbitration Centre (DIAC), conducted in English in Dubai, UAE.

12. Amendments

VS Horizon reserves the right to amend these Terms at any time. Amendments take effect upon publication on this website. Contracts already in force are governed by the Terms in effect at the time of the signed order confirmation.
